This strategic move aims to raise funds through a combination of a fresh equity issue and an Offer For Sale (OFS). According to the Draft Red Herring Prospectus (DRHP), Smartworks Coworking Spaces Ltd’s IPO will comprise a fresh issue of equity shares worth ₹550 crore and an OFS of 67.59 lakh shares by its promoters. The fresh equity issue is designed to generate funds for specific purposes, while the OFS allows the existing shareholders to sell part of their holdings. This dual approach provides a balanced strategy for both raising new capital and offering liquidity to current investors.

Pre-IPO Placement Considerations

The company is also considering a pre-IPO placement to raise up to ₹110 crore. If executed, this amount will be deducted from the total fresh issue size. This move reflects Smartworks’ strategy to secure initial investments and strengthen its financial position before the public offering, potentially reducing the overall equity issuance.

Utilization of Funds

Capital Expenditure and Loan Repayment

A significant portion of the proceeds from the fresh issue, approximately ₹282.30 crore, will be allocated to capital expenditure. This includes fit-outs in new centres and security deposits required for these locations. Additionally, ₹140 crore will be used to repay existing loans, easing the company’s financial burden and improving its balance sheet.

General Corporate Purposes

The remaining funds will be directed towards general corporate purposes. This broad allocation ensures flexibility in addressing various operational needs and strategic initiatives that may arise during the growth phase.
